This is an exciting opportunity for an experienced lawyer with in-house legal experience to take on a pivotal role in a fast-growing impact investment business in a 12-15 Month Fixed Term Maternity Cover capacity. You will have the opportunity to play an essential role in transactions at the forefront of social impact investing as well as supporting the growth and success of Big Society Capital as a leader in our sector. The role will give the successful candidate broad exposure to all areas of Big Society Capital’s work building close relationships with our investment team and working on strategic internal corporate and compliance matters.
 
Key accountabilities & specific responsibilities:
 
Investment
  • Participate in the documentation of an investment, from preparation of headline terms to transaction close.
  • Maintain a knowledge of Big Society Capital’s legal obligations relating to the investments and make sure Big Society Capital has all necessary investment documentation in place and properly stored
  • Oversight in the management of investments over their lifetime with regard to any significant legal issues that arise, including any amendments to legal documentation and any waivers that may be required
  • Participate in the process to restructure or dispose of investments with regard to any significant legal issues that arise
Management 
  • Manage and develop high-performing teams for legal and compliance
  • Develop a culture of ‘constant improvement’ in legal and compliance with specific focus on process, controls and systems
  • Liaise and manage relationships with external law firms
  • Operate as a strategic partner to the Chief Financial Officer and Executive Committee. Contribute to the leadership and strategic development of the business, consistent with the stated ambitions of the business.
  • Attend the Audit, Risk and Compliance Committee meetings, a Big Society Capital board committee, and the Risk Committee meetings, an Executive Committee.
  • Any other duties as may be required from time to time by the Chief Financial Officer
Corporate legal and regulatory
  • Lead on the legal and regulatory aspects of Big Society Capital’s strategic projects
  • Respond to requests for advice on legal and compliance matters from across the organisation
  • Alongside the Chief Financial Officer, ensure strong governance and risk management is in place and continues to evolve reflecting the needs of the growing organization
  • Anticipate changes to the law, review new legislation and develop and implement processes to ensure compliance by Big Society Capital
  • Oversee the maintenance and development of effective and appropriate regulatory compliance processes
  • Provide reports to senior management as and when required
  • Deputise for the Chief Financial Officer with regard to regulatory matters
 
Person Specification
 
Experience (essential)
  • Solicitor qualified in England and Wales
  • Previous experience of being General Counsel or Head of Legal team in-house in a growing organisation
  • Legal related project management
  • Experience of coaching and managing a team
Experience (desirable)
  • Experience of providing interim cover at a senior level
  • Knowledge and experience of private equity
  • Knowledge and experience of financial services regulation
  • Knowledge and experience of data protection
  • Knowledge and experience of commercial contracts
  • Engagement with the third sector in some capacity (e.g. trustee of a charity)
